The Memorandum and Articles of Association of Austmine provide for two classes of Members, namely: 

 

General Members

The Board may accept for admission as a General Member any group or association considered by the Board in its sole discretion as likely to further the objectives of Austmine and otherwise regarded by the Board as suitable for membership of Austmine. 

 

Associate Members

The Board may accept for admission as an Associate member any person regarded by the Board as suitable for admission as an Associate member. No application has been made for admission as an Associate Member and the Board is of the view that all members should be General Members and be able to vote.

 

General Provisions for Membership

  1. Members are deemed to have agreed to further the objectives of Austmine and to be bound by and observe the provisions of the Memorandum of Association, Articles of Association and any By-Laws made in accordance with the Articles of Association.
  2. Each Member shall notify the Board of any change in control of that Member within one month of that change having occurred. If the Board does not approve of the change in control of the member it may terminate the membership of the Member in accordance with the Articles of Association of Austmine.
  3. Members shall pay such joining fee and such annual subscriptions to Austmine as shall be determined from time to time, by the Board and prescribed in the By-Laws.
  4. Subscriptions are payable on a financial year basis on the first day of July.
  5. Any Members desiring to resign from Austmine shall give to the Secretary three (3) calendar months written notice to that effect or such lesser notice as the Board may accept.
  6. A membership application shall be in such form and shall be accompanied by such evidence as to eligibility for membership as the Board may from time to time prescribe and shall be lodged with the Secretary. In considering membership applications the Board requires prospective members to satisfy the requirements of membership as set down in the Application for Membership form, namely;
    1. Not to disclose market intelligence provided by Austmine other than for the benefit of the Australian company;
    2. Act as a good Australian corporate citizen; and
    3. Make in Australia all decisions that relate to exports from Australia.
  7. Each General Member not being an individual may appoint one person to represent it at a particular general meeting or at all general meetings.

 

Objectives of Austmine

The principal objective of Austmine is to enhance the international business performance of the Australian mining equipment, services and supplies industry. To achieve this objective Austmine has two main functions:

  1. Act as a focal point so that private sector international business development activities can be coordinated and rationalised.
  2. Act as a central link between the industry, the public sector and other bodies.

 

Note: Austmine's objectives and functions are fully elaborated in the Certificate of Incorporation of Austmine Ltd as a public company (November 1989). A copy is available on request.
